General Terms and Conditions (GTC)

 

  1. Scope

1.1. These General Terms and Conditions (GTC) apply to all contracts, deliveries and other services between [Company Name] (hereinafter referred to as “Contractor”) and the Client.

1.2. Deviating, conflicting or supplementary General Terms and Conditions of the Client shall not become part of the contract unless their validity is expressly agreed to in writing.

  1. Subject Matter of the Contract

2.1. The Contractor offers services in the areas of interior design, design and planning of showrooms, as well as conception and implementation of trade fair stands.

2.2. The specific scope of services results from the respective offer, the contract or the project agreement.

2.3. Changes to the scope of services require a written agreement.

  1. Conclusion of Contract

3.1. Offers of the Contractor are subject to change and non-binding.

3.2. A contract is only concluded upon written confirmation of the order or by the execution of the service.

  1. Obligations of the Client to Cooperate

4.1. The Client undertakes to provide all information, documents and decisions necessary for the execution of the project in a timely manner.

4.2. Delays or additional expenses as a result of delayed or incomplete cooperation on the part of the Client shall be borne by the Client.

  1. Remuneration

5.1. The remuneration is based on the individually agreed offer.

5.2. All prices are net plus the statutory value added tax.

5.3. Additional services that are not included in the original scope of services will be remunerated separately.

5.4. Payments are due within 14 days from the date of invoice without deduction, unless otherwise agreed.

  1. Dates and Deadlines

6.1. Dates and deadlines are only binding if they have been agreed in writing.

6.2. Delays due to force majeure, unforeseeable events or obstacles caused by third parties shall extend the deadlines accordingly.

  1. Copyright and Rights of Use

7.1. All services provided by the Contractor (e.g. drafts, drawings, plans, concepts) are subject to copyright.

7.2. The Client receives a simple right of use for the use of the services to the contractually agreed extent.

7.3. A transfer, duplication or modification of the services is only permitted with the express written consent of the Contractor.

  1. Acceptance

8.1. The Client is obliged to accept the service provided after completion, provided that it has been provided in accordance with the contract.

8.2. If no acceptance takes place within 14 days after notification of completion, the service shall be deemed accepted.

  1. Warranty

9.1. The statutory warranty rights apply.

9.2. Obvious defects must be reported in writing immediately, at the latest within 7 days after acceptance.

9.3. In the case of justified defects, the Contractor has the right to remedy the defect.

  1. Liability

10.1. The Contractor is only liable for damages in case of intent or gross negligence.

10.2. In the event of slight negligence, liability is limited to the contractually typical, foreseeable damage.

10.3. Liability for indirect damages or loss of profit is excluded.

  1. Privacy policy

11.1. The Contractor undertakes to use personal data of the Client only within the framework of the legal regulations.

11.2. Further information on data protection can be found in the data protection declaration on the Contractor’s website.

  1. Final Provisions

12.1. Amendments and supplements to this contract must be made in writing.

12.2. The law of the Federal Republic of Germany applies.

12.3. The place of jurisdiction is the registered office of the Contractor, provided that the Client is a merchant, a legal entity under public law or a special fund under public law.
